Sociedad de Responsibilidad Limitada or Sociedad Limitada, or their respective abbreviations, "S.R.L." or "S.L.", must appear in the names of limited liability companies.

Sociedad Anónima or the abbreviation "S.A." must appear in the names of joint stock companies.

Share capital in limited liability companies must be at least 3,000 euros and denominated in euros.

The share capital of joint stock companies must be at least 60.000 euros and denominated in that currency.

Link to Certificate of Good Standing Although there is no such thing in Spain, we can get a Nota Simple document that does the same thing. The Spanish company's existence and registration are established by this document.

The following information about the business can be found in the Spanish Nota Simple:

Name of the company – Registro Mercantil Central Registry details – number in the registry, tax reference number Incorporation date Company object – this can be important in Spain because a contract could be "ultra vires" or subject to special rules Capital issued Capital paid Name of Directors/Administradores – or people with Power of Attorney (the POA needs to be registered) Information about published data – incorporation, lodging of accounts, changes in directors, and others, as required by law Where a winding-up was initiated in accordance with the law, reactivation decisions cannot be made.

The requirements for amending the bylaws must be met before the reactivation decision can be made.
